1. Agreement to Terms

By accessing and using the services provided by Veriff OÜ (Registration Number: 12932944), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Veriff OÜ provides mobile app development and programming services, including:

• iOS and Android mobile application development
• Cross-platform mobile application development
• Web application development
• UI/UX design services
• Software consulting and maintenance
• Technical support and training

3. Project Terms and Delivery

3.1 Project Scope

All projects will be governed by a separate project agreement that outlines specific deliverables, timelines, and requirements. The project agreement forms part of these Terms.

3.2 Timeline and Delivery

Project timelines are estimates based on the information provided at the time of agreement. Delays may occur due to:

• Changes in project scope or requirements
• Late provision of required materials or feedback
• Technical complications beyond our reasonable control
• Third-party service dependencies

4. Payment Terms

4.1 Pricing and Payment Schedule

Project pricing and payment schedules will be specified in the project agreement. Generally:

• A deposit is required before project commencement
• Progress payments are due at specified milestones
• Final payment is due upon project completion
• Invoices are payable within 30 days of issuance

4.2 Late Payments

Late payments may result in suspension of services and additional charges. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment, the client will own the intellectual property rights to the custom-developed software, subject to any third-party licenses incorporated into the solution.

5.2 Our Retained Rights

We retain rights to our general knowledge, methodologies, and any pre-existing intellectual property. We may use the project experience for reference purposes and general business development.

6. Confidentiality

We respect the confidentiality of your business information and will not disclose confidential information to third parties without your written consent, except as required by law.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

7.2 Software Warranty

We provide a 90-day warranty on delivered software to be free from material defects. This warranty covers bug fixes but not feature enhancements or changes in requirements.

7.3 Disclaimers

Except as expressly stated, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid for the specific project. We shall not be liable for indirect, incidental, special, or consequential damages.

9. Termination

Either party may terminate a project agreement with written notice. In case of termination:

• Payment is due for all work completed to the termination date
• We will deliver all completed work and materials
• Both parties will return any confidential information

10. Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, or government regulations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia. Any disputes shall be resolved in the courts of Estonia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website and become effective immediately upon posting.
